These Terms and Conditions ("Terms") set out the terms under which DigiVal Consulting ("the Provider") delivers digital transformation consulting, experience design, and AI & no-code integration services to the Client.
By placing an order for any service, the Client accepts these Terms in full without reservation.
These Terms apply to all services offered by DigiVal Consulting, including but not limited to:
- 48-hour rapid prototyping sprints
- Digital audit & readiness assessment (Digital Readiness Score)
- Digital experience design & development
- AI, automation & no-code tool integration
- Strategic digital transformation consulting
These Terms take precedence over any terms submitted by the Client, unless otherwise agreed in writing.
The nature and scope of the services are defined in the quotation or proposal accepted by the Client. The Provider shall carry out all services with due care and in accordance with industry best practices.
DigiVal Consulting operates under an obligation of means, not an obligation of result, unless expressly stated otherwise in the contract.
All quotations are valid for 30 days from the date of issue. Acceptance of a quotation constitutes a binding order.
An order is deemed accepted upon:
- Signature of the quotation or purchase order
- Written confirmation via email
- Payment of the required deposit
All fees are quoted in AUD (Australian Dollars), exclusive of tax. GST at the prevailing rate (currently 10%) will be added where applicable.
Payment terms:
- 50% deposit upon order confirmation
- Balance due on delivery or as per the agreed payment schedule
- Payment by bank transfer or Stripe
- Payment due within 14 days of invoice date
Late payment: Overdue amounts incur interest at 1.5% per month, accruing without the need for a formal reminder.
Delivery timelines are provided as estimates unless expressly stated otherwise in the quotation. Delays in delivery do not entitle the Client to damages.
Timelines commence upon:
- Receipt of the deposit payment
- Receipt of all required materials and information from the Client
The Client agrees to:
- Provide all necessary information and materials within agreed timeframes
- Collaborate actively and designate a single point of contact
- Review and approve interim deliverables within 5 business days
- Meet all payment obligations on time
Any delay attributable to the Client may result in an equivalent extension of the delivery timeline.
Intellectual property rights in the deliverables transfer to the Client upon full payment.
The Provider retains the right to:
- Reference the work in its portfolio and case studies
- Reuse generic methodologies, tools and frameworks developed during the engagement
Proprietary tools, templates and frameworks belonging to DigiVal Consulting (including the 48h Sprint methodology, Digital Readiness Score, etc.) remain the exclusive property of the Provider.
Each party undertakes to keep confidential all information of a confidential nature disclosed by the other party during the course of the engagement.
This obligation of confidentiality remains in force for the duration of the contract and for 2 years following its termination.
The Provider's liability is limited to the value of the engagement in question. The Provider shall not be held liable for:
- Indirect or consequential damages (loss of revenue, data loss, reputational harm)
- Failures or outages of third-party tools (Supabase, Stripe, Make.com, etc.)
- Delays arising from the Client's failure to meet its own obligations
In the event of a material breach by either party, the contract may be terminated by right 15 days after formal notice has been served and remains unresolved.
If terminated by the Client:
- The deposit is non-refundable
- Services rendered to date shall be invoiced on a pro-rata basis
These Terms are governed by the laws of New South Wales, Australia. The parties agree to seek an amicable resolution before commencing any legal proceedings.
Failing amicable resolution within 30 days, disputes shall be submitted to the competent courts of Sydney, NSW, Australia.
